BEGINNING OF TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer”, “you” or “your”) and Electro Private Limited (“Company”, “we”, “us” or “our”), a company incorporated under the Companies Act with its registered office at Jaunpur, Uttar Pradesh – 222002, India.

The Company is a manufacturer of electrical and electronic products, including products such as ceiling fans, air coolers, induction cooktops, valves and other allied electrical products (“Products”), and sells the Products through its website www.[website].com (the “Website”).

By accessing the Website or placing an order, you accept and agree to be bound by these Terms, together with the Company’s Privacy Policy and Return, Refund, Replacement & Cancellation Policy, each of which is incorporated herein by reference. If you do not agree, please do not use the Website.

1. Eligibility

You must be at least eighteen (18) years of age and competent to contract under applicable law in order to purchase Products from the Website. By using the Website, you represent and warrant that all information provided by you is true, accurate, current and complete.

2. Account Registration

  • Creation of an account may be required to place orders. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities carried out under your account.
  • You shall notify the Company immediately at the designated customer-support email of any unauthorized use of your account.
  • The Company reserves the right to suspend or terminate any account for providing false information, breach of these Terms, or fraudulent or abusive conduct.

3. Products, Specifications, and Availability

  • As a manufacturing company, we endeavour to display Product descriptions, technical specifications, images and finishes accurately. Minor variations in colour, finish, size or appearance may occur due to screen settings, production batches or continuous product improvement.
  • Technical parameters—including wattage, voltage, frequency, air delivery, room size, dimensions, performance ratings and other specifications—are stated on the respective product pages. You are responsible for verifying the suitability and compatibility of a Product for your intended application prior to purchase.
  • The Company reserves the right to modify, upgrade, or discontinue any Product, and to limit order quantities per customer, without prior notice.
  • All Products are subject to availability and manufacturing timelines; made-to-order Products may carry extended lead times as indicated at the time of order.

4. Pricing and Payment

  • All prices are quoted in Indian Rupees (INR) and are inclusive/exclusive of GST and other applicable taxes as indicated at checkout. Delivery charges, where applicable, are displayed before order confirmation.
  • Prices are subject to revision without notice. However, confirmed orders shall not be affected by subsequent price changes.
  • Pricing errors: In the event a Product is listed at an incorrect price or with incorrect information owing to typographical, technical or system errors, the Company reserves the right to cancel the order, whether or not payment has been received, and shall refund the amount paid.
  • The Company accepts payments through various electronic payment modes, including Unified Payments Interface (UPI), credit cards, debit cards, internet/net banking, prepaid instruments and mobile wallets, or such other payment options as may be enabled on the Website from time to time.
  • All transactions are processed through secure, PCI-DSS compliant third-party payment gateways and the Company does not store complete card numbers or CVV details on its servers.
  • The Company shall not be responsible for any failure, decline, delay or deduction arising at the level of the banking bank/payment aggregator/payment gateway.
  • In the event an amount is debited without the order being confirmed, the amount shall be refunded in accordance with the Return, Refund, Replacement & Cancellation Policy.
  • You represent that you are legally authorized to use the payment instrument furnished. Suspected fraudulent transactions may be cancelled and reported to the appropriate authorities.

5. Order Acceptance

Your order constitutes an offer to purchase. A binding contract of sale comes into existence only upon dispatch of the Products and issuance of a dispatch confirmation by the Company, and not merely upon placement of the order or receipt of payment.

The Company may decline or cancel any order in accordance with these Terms and the Return, Refund, Replacement & Cancellation Policy.

6. Cancellation, Return, Refund, and Replacement

  • All matters relating to cancellation, return, refund and replacement of Products are governed by the Company’s Return, Refund, Replacement & Cancellation Policy, which forms an integral part of these Terms.
  • Without prejudice to the foregoing, customers are specifically advised that where an order is cancelled after it has been dispatched or shipped, or delivery is refused, only a partial refund shall be admissible.
  • The Company shall deduct forward and return delivery/freight charges together with operational and handling costs incurred in preparing, packing and shipping the order, and shall refund the balance amount alone.
  • Cancellations made prior to dispatch shall be eligible for a full refund in accordance with the applicable Policy.

7. Shipping and Delivery

  • Deliveries are made to serviceable locations indicated at checkout. Estimated delivery timelines are indicative and not of the essence of the contract.
  • The Company shall not be liable for delays attributable to logistics partners, weather, strikes or other causes beyond its reasonable control.
  • Title and risk in the Products pass to you upon delivery at the shipping address furnished by you.
  • You shall provide a complete and accurate delivery address and remain available to accept delivery.
  • The Company shall not be responsible for failed or delayed deliveries arising from incorrect address details or customer unavailability. Re-delivery charges may apply.
  • Please inspect the consignment upon delivery. Tampered or externally damaged packages should be refused to the delivery personnel and reported to the Company within twenty-four (24) hours with photographs.

8. Installation and Safe Use of Electrical Products — Important

  • The Products are electrical and electronic in nature. Installation of fans, ceiling fans, coolers, lighting fixtures, induction cooktops, valves and similar Products must be carried out only by a qualified and licensed electrician or technician, in accordance with the user manual, applicable electrical codes and safety standards.
  • You are solely responsible for ensuring correct voltage, load capacity, wiring, earthing, mounting strength and compatibility prior to installation and use.
  • The Company shall not be liable for any failure, electric shock, fire, or damage to person or property arising from improper installation, incorrect wiring or voltage, overloading, unauthorized modification, use of non-genuine spare parts, or non-observance of the safety instructions and warnings accompanying the Products.
  • Products must be kept out of the reach of children unless expressly designed for their use.

9. Warranty

  • Products carry the warranty, if any, stated on the respective product page and/or the warranty card accompanying the Product.
  • As the manufacturer, the Company shall honour valid warranty claims by repair or replacement of the defective Product or part, at its discretion, through the Company or its authorised service centre.
  • The warranty does not cover physical or transit damage after delivery; damage due to voltage fluctuations, incorrect wiring, power surge or moisture ingress; unauthorized repairs, alterations or use of non-genuine parts; normal wear and tear; and consumable components unless expressly covered.
  • The original tax invoice is mandatory for all warranty claims.
  • Warranty is applicable within the territory of India only.
  • Except as expressly provided, and to the maximum extent permitted by law, all other warranties, express or implied, are disclaimed. Nothing in these Terms shall limit the statutory rights available to consumers under the Consumer Protection Act, 2019, or other applicable law.

10. User Content and Reviews

You may post reviews, ratings, questions and comments, provided such content is your own, accurate, lawful and not obscene, defamatory, abusive, threatening, infringing or otherwise objectionable.

By posting content, you grant the Company a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, display, perform and adapt such content in connection with the Website and the Company’s business.

The Company may moderate or remove any content at its discretion.

11. Intellectual Property

All content on the Website—including the “Electro” name and logo, trademarks, product and package designs, text, graphics, images, catalogues, software and other materials—is owned by or licensed to Electro Private Limited and is protected under applicable intellectual property laws.

No content may be copied, reproduced, scraped, republished or commercially exploited without the Company’s prior written consent.

12. Prohibited Conduct

You shall not:

(a) use the Website for any unlawful, fraudulent or abusive purpose;
(b) attempt unauthorized access to the Website, its servers or other users’ accounts;
(c) deploy bots, crawlers or automated tools to access or extract data;
(d) introduce viruses or malicious code;
(e) place bulk or fraudulent orders in breach of quantity restrictions;
(f) abuse coupons, offers or referral programmes by creating multiple accounts; or
(g) impersonate any person or entity.

Breach of this clause may result in cancellation of orders, termination of your account, forfeiture of benefits and legal action.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

(a) the Company’s aggregate liability arising out of or in connection with any order or the use of the Website shall not exceed the amount actually paid by you for the Product(s) giving rise to the claim;

(b) the Company shall not be liable for any indirect, incidental, special, consequential or punitive loss, including loss of profit, business or data; and

(c) the Company shall not be liable for loss or damage arising from improper installation, misuse or unauthorized modification of the Products.

Nothing herein excludes liability that cannot be excluded under applicable law, including statutory consumer rights.

14. Indemnity

You agree to indemnify and hold harmless the Company, its directors, officers, employees and agents from and against all claims, demands, losses, damages, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Website or Products, or violation of any applicable law or the rights of any third party.

15. Force Majeure

The Company shall not be liable for any failure or delay in performance of its obligations arising from causes beyond its reasonable control, including acts of God, fire, flood, epidemic, strikes, lockouts, raw-material shortages, transport disruption, power failure, war, civil disturbance, governmental action, or failure of internet or telecommunication services.

16. Suspension and Termination

The Company may suspend or terminate your access to the Website at any time for breach of these Terms, suspected fraud or conduct prejudicial to the Company or other users.

Clauses which by their nature are intended to survive termination—including those relating to intellectual property, limitation of liability, indemnity, trademarks and governing law—shall survive termination.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to any rights available to consumers under the Consumer Protection Act, 2019, all disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Jaunpur, Uttar Pradesh.

18. Severability, Waiver, and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

A failure or delay by the Company in enforcing any right shall not operate as a waiver thereof.

These Terms, together with the Privacy Policy and the Return, Refund, Replacement & Cancellation Policy, constitute the entire agreement between the parties in relation to the use of the Website and purchase made thereon.

Grievances shall be acknowledged within forty-eight (48) hours and resolved within the timelines prescribed under the Consumer Protection (E-Commerce) Rules, 2020, and other applicable laws.
